These Terms of Service govern your use of InflexionBI and provide information about the InflexionBI service. By using our service, you agree to these terms.

1. Acceptance of Terms

By accessing or using InflexionBI, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Description of Service

InflexionBI provides a real-time M&A intelligence platform for medical device and life sciences companies. The platform, its data compilations, and all outputs are proprietary to InflexionBI. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time without notice.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. Each subscription is for a single named user only. You may not share your account credentials with any other person or entity. If you purchase a team or organizational subscription, access is limited to the number of seats purchased. Unauthorized sharing of account access constitutes a material breach of these Terms and may result in immediate account termination without refund.

4. Acceptable Use

You agree not to use the service for any unlawful purpose or in any way that could damage, disable, or impair the service. You may not attempt to gain unauthorized access to any portion of the service or any other systems or networks connected to the service. You expressly agree not to: (a) scrape, crawl, spider, or use any automated means to access, extract, or index any content or data from the service; (b) use the service to build a competing product or service, or to benchmark or evaluate the service for competitive purposes; (c) resell, sublicense, or redistribute any data, reports, or outputs from the service without our prior written consent; (d) use bots, scripts, or automated tools to access or interact with the service; or (e) circumvent any rate limiting, access controls, or technical measures we use to protect the service. Violation of any of the above may result in immediate termination of your account without refund, and may expose you to civil and criminal liability. We reserve the right to monitor usage patterns to detect and investigate violations, and to take any legal action available to us including seeking injunctive relief and damages.

5. User Content and Data

You retain all rights to the data you upload to InflexionBI. By uploading data, you grant us a license to process, store, and display your data solely for the purpose of providing the service to you. You are responsible for ensuring you have the right to use any data you upload.

6. Intellectual Property

The service and its original content, features, functionality, data compilations, algorithms, M&A intelligence outputs, and underlying methodologies are owned exclusively by InflexionBI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes, without limitation, our proprietary medical device and life sciences M&A transaction database and VC funding database, which constitute original compilations protected under applicable copyright and trade secret law. You acquire no ownership rights in the service, its databases, or its outputs by virtue of accessing or using the service. Any feedback, suggestions, or ideas you provide regarding the service may be used by InflexionBI without restriction or compensation to you.

7. Confidentiality

The service and its outputs, including M&A intelligence reports, deal data, and analytics, may contain proprietary and confidential information. You agree to treat all non-public information accessed through the service as confidential and not to disclose it to third parties without our prior written consent. This obligation survives termination of your account.

8. Payment and Billing

Paid subscriptions are billed in advance on a recurring basis. You are responsible for providing accurate billing information. We reserve the right to change our pricing at any time with 30 days notice to existing customers.

9. Free Trial

We offer a free trial period for new customers. At the end of the trial period, your subscription will automatically begin unless you cancel before the trial ends.

10. Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial months of service or unused features.

11. Service Level and Uptime

We strive to maintain high availability of our service but do not guarantee uninterrupted access. We are not liable for any downtime, data loss, or business interruption resulting from service outages.

12. Limitation of Liability

In no event shall InflexionBI be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service. Our total liability shall not exceed the amount you paid us in the twelve months prior to the claim.

13. Indemnification

You agree to indemnify and hold InflexionBI harmless from any claims, damages, losses, liabilities, and expenses arising from your use of the service or violation of these terms.

14. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of the service after changes constitutes acceptance of the new terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the state or federal courts located in Sangamon County, Illinois, and you hereby consent to personal jurisdiction in such courts. Notwithstanding the foregoing, InflexionBI may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or proprietary data without the requirement of posting bond or other security.
